1. Parties & Acceptance of Terms1. الأطراف وقبول الشروط
Livvent is operated by Parkers Consultancy (Commercial Registration Number: 7003326159), represented by Saif Saud Nashi Alutaybi. By accessing and using Livvent ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.
تشغيل Livvent بواسطة Parkers Consultancy (رقم السجل التجاري: 7003326159)، ممثلة بواسطة سيف سعود ناشي العتيبي. باستخدام منصة Livvent ("المنصة")، فإنك توافق على الالتزام بشروط وأحكام هذه الاتفاقية. إذا كنت لا توافق على شروط الخدمة هذه، يرجى عدم استخدام المنصة.
2. Description of Service2. وصف الخدمة
Livvent provides two standalone business services that can be used independently or together:

3. Account Activation3. تفعيل الحساب
Full access from day 1.وصول كامل من اليوم الأول.
Every new business registration includes immediate access to all features of their selected plan upon activation. Subscription fees and commission charges apply from the start of your billing cycle.
كل تسجيل تجاري جديد يتضمن وصولاً فورياً إلى جميع ميزات الخطة المختارة عند التفعيل. رسوم الاشتراك والعمولة تبدأ من بداية دورة الفوترة.
4. Fees and Payment4. الرسوم والدفع
4.1 Subscription Fees4.1 رسوم الاشتراك
Subscription fees (monthly or annual) for your selected plan are charged based on the billing cycle you chose at registration.
يتم فرض رسوم الاشتراك (الشهرية أو السنوية) للخطة المختارة بناءً على دورة الفوترة التي اخترتها عند التسجيل.
4.2 Commission Structure4.2 هيكل العمولة
Commission is charged as a percentage of each order processed through the Platform, plus 15% VAT. The rate depends on your selected plan. A one-time setup fee of 295 SAR (non-refundable once setup begins) applies on eligible plans.
يتم فرض العمولة كنسبة مئوية من كل طلب يتم معالجته عبر المنصة، بالإضافة إلى 15% ضريبة القيمة المضافة. يعتمد المعدل على الخطة التي اخترتها. رسوم إعداد لمرة واحدة بقيمة 295 ريال (غير قابلة للاسترداد بمجرد بدء الإعداد) تسري على الخطط المؤهلة.
4.3 VAT & Tax Compliance4.3 الامتثال الضريبي وضريبة القيمة المضافة
All prices quoted are before VAT. Livvent adds 15% VAT to commission, delivery fees, and hardware. Businesses must provide a valid Tax ID / VAT registration number and must notify Livvent immediately if their VAT status changes.
جميع الأسعار المعلنة قبل ضريبة القيمة المضافة. تضيف ليفنت 15% ضريبة القيمة المضافة على العمولات ورسوم التوصيل والأجهزة. يجب على الشركات تقديم رقم تعريف ضريبي / تسجيل ضريبة القيمة المضافة صالح وإبلاغ ليفنت فوراً إذا تغيرت حالتهم الضريبية.
4.4 Payment Settlement4.4 تسوية المدفوعات
Livvent settles payouts weekly — every Friday for all orders processed from the prior week (Monday through Sunday). Payouts are transferred directly to your registered bank account, minus commission (plus VAT), payment processing fees, and any refunds issued. For delivery orders, a delivery fee of 18 SAR + VAT is collected from the customer and paid to the logistics partner.
تقوم ليفنت بتسوية المدفوعات أسبوعياً — كل يوم جمعة لجميع الطلبات المعالجة من الأسبوع السابق (الاثنين إلى الأحد). يتم تحويل المدفوعات مباشرة إلى حسابك المصرفي المسجل، بعد خصم العمولة (زائد ضريبة القيمة المضافة) ورسوم معالجة الدفع وأي استرداد. للطلبات الموصلة، يتم تحصيل رسوم توصيل قدرها 18 ريال + ضريبة القيمة المضافة من العميل ودفعها لشريك الخدمات اللوجستية.
5. Platform Performance & Support5. أداء المنصة والدعم
Livvent shall maintain the Platform operational at 99% uptime (excluding scheduled maintenance). Technical support is provided within 24 business hours via email, phone, or WhatsApp. Critical technical issues are resolved within 48 hours. Scheduled maintenance is communicated at least 24 hours in advance.
تلتزم ليفنت بالحفاظ على تشغيل المنصة بنسبة 99% من الوقت (باستثناء الصيانة المجدولة). يتم تقديم الدعم التقني خلال 24 ساعة عمل عبر البريد الإلكتروني أو الهاتف أو واتساب. يتم حل المشاكل التقنية الحرجة خلال 48 ساعة. يتم إبلاغك بالصيانة المجدولة مسبقاً بـ 24 ساعة على الأقل.
6. Intellectual Property6. الملكية الفكرية
The Platform, including its software, design, and content, is owned by Livvent and protected by intellectual property laws. Businesses retain ownership of their brand assets, product images, and content uploaded to the Platform.
المنصة، بما في ذلك برامجها وتصميمها ومحتواها، مملوكة لـ Livvent ومحمية بقوانين الملكية الفكرية. تحتفظ الشركات بملكية أصول علامتها التجارية وصور المنتجات والمحتوى المحمل على المنصة.
7. Data and Privacy7. البيانات والخصوصية
Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to our data practices as described in the Privacy Policy.
يتم التحكم في جمع واستخدام المعلومات الشخصية من خلال سياسة الخصوصية. باستخدام المنصة، فإنك توافق على ممارسات البيانات الخاصة بنا كما هو موضح في سياسة الخصوصية.
8. Termination8. الإنهاء
The initial contract term is 1 month, with automatic renewal for successive 1-month periods. Either party may terminate by providing 30 days' written notice via email or registered mail. Termination becomes effective 30 days from the date of notice. Businesses may terminate without the 30-day notice period if: (a) Livvent fails to settle payments for 2+ consecutive weeks, or (b) the Platform is unavailable for 7+ consecutive days due to Livvent's fault. We reserve the right to suspend or terminate accounts that violate these terms.
مدة العقد الأولية شهر واحد، مع التجديد التلقائي لفترات شهرية متتالية. يمكن لأي طرف إنهاء العقد بتقديم إشعار خطي لمدة 30 يوماً عبر البريد الإلكتروني أو البريد المسجل. يسري الإنهاء بعد 30 يوماً من تاريخ الإشعار. يمكن للشركات الإنهاء بدون فترة إشعار 30 يوماً إذا: (أ) فشلت ليفنت في تسوية المدفوعات لمدة أسبوعين متتاليين، أو (ب) كانت المنصة غير متاحة لمدة 7 أيام متتالية بسبب خطأ من ليفنت. نحتفظ بالحق في تعليق أو إنهاء الحسابات التي تنتهك هذه الشروط.
9. Limitation of Liability9. تقييد المسؤولية
Livvent's total liability for any claim shall not exceed 3 months of commission paid by the business. Livvent is not liable for: quality or timeliness of order preparation, customer satisfaction with food or service, delivery delays or failures by logistics partners, lost profits or indirect damages, or third-party payment gateway failures.
لا تتجاوز المسؤولية الإجمالية لليفنت عن أي مطالبة 3 أشهر من العمولة المدفوعة من قبل الشركة. ليفنت ليست مسؤولة عن: جودة أو توقيت تحضير الطلبات، رضا العملاء عن الطعام أو الخدمة، تأخيرات أو إخفاقات التوصيل من قبل شركاء الخدمات اللوجستية، الأرباح المفقودة أو الأضرار غير المباشرة، أو إخفاقات بوابات الدفع من أطراف ثالثة.
10. Governing Law10. القانون الحاكم
This agreement is governed by the laws of the Kingdom of Saudi Arabia. Disputes will first be attempted amicably within 15 days. If unresolved, disputes will be submitted to Saudi Arabian courts in Riyadh.
تخضع هذه الاتفاقية لقوانين المملكة العربية السعودية. يتم محاولة حل النزاعات أولاً بالطرق الودية خلال 15 يوماً. إذا لم يتم الحل، تُقدم النزاعات إلى المحاكم السعودية في الرياض.
