Please read these terms carefully before using our services

1. Acceptance of Terms

By accessing and using Livvent ("the Platform"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.

2. Description of Service

Livvent provides two standalone business services that can be used independently or together:

3. Free Trial

1 Month Free — Zero Commission. Every new business registration includes a 30-day free trial starting from the date of registration. During the trial period, all subscription fees and commission charges are waived. You have full access to all features of your selected plan. No payment method is required to begin the trial. If you choose not to continue, the trial simply expires with no charges and no obligations.

The free trial applies to both Online Ordering and POS services. Trial terms are identical regardless of which service(s) you select.

4. Fees and Payment

4.1 Subscription Fees

After the free trial ends, subscription fees (monthly or annual) for your selected plan are charged based on the billing cycle you chose at registration. Annual plans are billed as a single upfront payment for 12 months and offer savings compared to monthly billing.

4.2 Commission Structure

Commission is charged as a percentage of each order processed through the Platform. The rate depends on your selected plan:

Commission fees are automatically deducted from order payments before payout to your account.

4.3 Setup Fees

Certain plans (e.g., Enterprise) carry a one-time setup fee. Setup fees are not charged at registration and not charged during the free trial. They are billed at the end of your 2nd month, giving you a full 60 days to evaluate the platform before any one-time costs are due.

5.1 Business Accounts

Businesses registering on the Platform must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

5.2 Customer Accounts

Customers may create accounts to place orders through business websites hosted on our Platform. Customer data is owned by the respective business and managed according to their privacy policies.

8. Intellectual Property

8.1 Platform Ownership

The Platform, including its software, design, and content, is owned by Livvent and protected by intellectual property laws.

8.2 Business Content

Businesses retain ownership of their brand assets, product images, menu items, and content uploaded to the Platform. By using the Platform, businesses grant us a license to display and use this content solely for providing our services.

9. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Platform. We reserve the right to modify, suspend, or discontinue any part of the service with reasonable notice. Scheduled maintenance windows will be communicated in advance where possible.

11. Limitation of Liability

Livvent shall not be liable for:

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Livvent harmless from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these terms, or infringement of any third-party rights.

13. Termination

13.1 By Business

Businesses may terminate their account at any time by providing 30 days' written notice. No refunds are provided for partial billing periods. Setup fees already charged are non-refundable.

13.2 By Platform

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activities, or for any other reason with reasonable notice.

13.3 Effect of Termination

Upon termination, your access to the Platform and POS system will be revoked. You may request an export of your data (menu items, customer lists, order history) within 30 days of termination.

14. Modifications to Terms

We may update these Terms of Service from time to time. Significant changes will be communicated via email or platform notification at least 30 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the new terms.

15. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Livvent operates, without regard to conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these terms or use of the Platform shall be resolved through good faith negotiation. If negotiation fails, disputes may be submitted to binding arbitration or appropriate courts.
